Welcome to Devspeak Pvt. Ltd. (“we,” “us,” or “our”), a digital marketing agency providing services to help businesses grow their online presence. By engaging with our services, you (“Client,” “you,” or “your”) agree to be bound by the following Terms and Conditions (“Terms”). Please read these Terms carefully before using our services.

1. Services

Devspeak Pvt. Ltd. provides digital marketing services, including but not limited to:
– Search Engine Optimization (SEO)
– Social Media Marketing (SMM)
– Pay-Per-Click (PPC) Advertising
– Content Creation and Marketing
– Website Design and Development
– Email Marketing

The specific scope of services, deliverables, timelines, and pricing will be outlined in a separate agreement or proposal (“Service Agreement”) provided to you. These Terms supplement any Service Agreement.

2. Acceptance of Terms

By signing a Service Agreement, making a payment, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

3. Payment Terms

– Fees: All fees for services will be detailed in the Service Agreement. Unless otherwise stated, fees are quoted in Indian Rupees (INR) or USD.
– Payment Schedule: Payments are due as per the schedule outlined in the Service Agreement. Typically, an initial deposit is required before work begins, with the balance due upon completion or as agreed.
– Late Payments: Late payments may incur a penalty of 1.5% per month on the outstanding amount or the maximum rate permitted by law, whichever is lower.
– Payment Methods: Payments can be made via bank transfer, UPI, or other methods specified in the Service Agreement.
– Refunds: Fees are non-refundable unless explicitly stated otherwise in the Service Agreement.

4. Client Responsibilities To ensure the successful delivery of services, you agree to:
– Provide accurate and complete information as requested.
– Supply necessary materials (e.g., logos, content, access to accounts) in a timely manner.
– Review and approve deliverables within the agreed timelines.
– Comply with all applicable laws and regulations related to your business and marketing activities.

Failure to meet these responsibilities may result in delays or additional costs, for which Devspeak Pvt. Ltd. will not be liable.

5. Intellectual Property
– Ownership by Client: Any materials or content you provide to us remain your property. You grant us a non-exclusive, royalty-free license to use these materials solely for the purpose of delivering the agreed services.
– Ownership by Devspeak: All original work created by us (e.g., designs, copy, code) remains our intellectual property until full payment is received, after which ownership transfers to you as outlined in the Service Agreement.
– Third-Party Tools: If we use third-party tools, platforms, or content (e.g., stock images, plugins), you are responsible for complying with their respective licensing terms.

6. Confidentiality
We agree to keep all sensitive information you provide confidential, except where required by law or with your prior consent. Similarly, you agree not to disclose any proprietary information shared by Devspeak Pvt. Ltd.

7. Termination
– By Either Party: Either party may terminate the Service Agreement with written notice (via email to contact@devspeak.in for us) if the other party breaches these Terms or the Service Agreement and fails to remedy the breach within 15 days.
– Effect of Termination: Upon termination, you will pay for all services rendered up to the termination date. Any prepaid fees for uncompleted work may be refunded at our discretion.

8. Limitation of Liability
– Devspeak Pvt. Ltd. will not be liable for any indirect, incidental, or consequential damages (e.g., loss of profits, data, or business opportunities) arising from our services.
– Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
– We do not guarantee specific results (e.g., rankings, sales) as outcomes depend on various factors beyond our control, including market conditions and third-party platforms.

9. Indemnification
You agree to indemnify and hold Devspeak Pvt. Ltd., its employees, and affiliates harmless from any claims, damages, or losses arising from your use of our services, your breach of these Terms, or your violation of any third-party rights.

10. Force Majeure
We will not be liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, internet outages, or government actions.

11. Amendments
We reserve the right to update these Terms at any time. The updated version will be posted on our website or emailed to you, and continued use of our services constitutes acceptance of the revised Terms.

12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts in  India.
