Terms & Conditions

Devspeak Pvt. Ltd. provides the following digital services, among others:

• Web Design & Development (custom websites, WordPress, Shopify)
• Search Engine Optimisation (SEO) — technical, on-page and local
• Social Media Marketing (SMM)
• Pay-Per-Click (PPC) Advertising — Google Ads and paid social
• Content Creation and Marketing
• Email Marketing and Automation

The specific scope of services, deliverables, timelines, and pricing will be outlined in a separate Service Agreement provided to you prior to commencement of work.

By signing a Service Agreement, making a payment, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must not use our services.

• Fees: All fees for services will be detailed in the Service Agreement. Unless otherwise stated, fees are quoted in Indian Rupees (INR) or USD.
• Payment Schedule: Payments are due as per the schedule outlined in the Service Agreement. Typically, an initial deposit is required before work begins, with the balance due upon completion or as agreed.
• Late Payments: Late payments may incur a penalty of 1.5% per month on the outstanding amount, or the maximum rate permitted by law, whichever is lower.
• Payment Methods: Payments can be made via bank transfer, UPI, or other methods specified in the Service Agreement.
• Refunds: Fees are non-refundable unless explicitly stated otherwise in the Service Agreement.

To ensure the successful delivery of services, you agree to:

• Provide accurate and complete information as requested by our team.
• Supply necessary materials (e.g., logos, content, account access) in a timely manner.
• Review and approve deliverables within the agreed timelines.
• Comply with all applicable laws and regulations related to your business and marketing activities.

• Ownership by Client: Any materials or content you provide to us remain your property. You grant us a non-exclusive, royalty-free licence to use these materials solely for the purpose of delivering the agreed services.
• Ownership by Devspeak: All original work created by us (e.g., designs, copy, code) remains our intellectual property until full payment is received, after which ownership transfers to you as outlined in the Service Agreement.
• Third-Party Tools: If we use third-party tools, platforms, or content (e.g., stock images, plugins), you are responsible for complying with their respective licensing terms.

We agree to keep all sensitive information you provide strictly confidential, except where required by law or with your prior written consent. Similarly, you agree not to disclose any proprietary methods, processes, or information shared by Devspeak Pvt. Ltd. during the course of our engagement.

• By Either Party: Either party may terminate the Service Agreement with written notice (via email to contact@devspeak.in) if the other party breaches these Terms and fails to remedy the breach within 15 days of receiving notice.
• Effect of Termination: Upon termination, you will pay for all services rendered up to the termination date. Any prepaid fees for uncompleted work may be refunded at our discretion.

Devspeak Pvt. Ltd. will not be liable for any indirect, incidental, or consequential damages — including loss of profits, data, or business opportunities — arising from our services.

Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

You agree to indemnify and hold Devspeak Pvt. Ltd., its employees, directors, and affiliates harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your breach of these Terms, or your violation of any third-party rights.

We will not be liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, internet outages, power failures, government actions, or other circumstances outside our direct control. We will notify you promptly of any such event and resume services as soon as practicable.

We reserve the right to update these Terms at any time. The updated version will be posted on our website or communicated to you by email. Your continued use of our services following any such update constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.
